ASSOCIATION MEETINGS

The annual meeting of the members is held each year during the month of March, usually on a Thursday evening in the Hawthorn Room at the clubhouse. Notice of the annual meeting is mailed to each member.

At the annual meeting, members elect directors to serve three-year terms on the board, committee reports are made, questions and comments are taken from the floor, and recognition is given to exiting directors.

Nomination of directors. Nomination for election to the board of directors is made by a nominating committee appointed by the board president and consists of a chairman who is member of the board and two or more members of the Association. Nominations may also be made from the floor at the annual meeting.

Quorum. The presence in person or by proxy of members entitled to cast one-tenth of the votes constitutes a quorum for any action. If, however, a quorum can't be reached, the members can adjourn the meeting.

Proxies. A member may vote in person or by proxy executed in writing and filed with the secretary. Proxies are revocable and automatically terminate upon termination of membership.

Other voting matters. Occasionally there may be additional voting matters on the annual meeting agenda such as a request for a special assessment for capital improvements, a change in maximum annual assessment, or a change in the Bylaws, etc.
